**The German government is negotiating the acquisition of a 50% stake in Franco-German defense manufacturer KNDS from its German family shareholders, potentially placing the Leopard 2 tank producer under equal German and French state ownership.**

The discussions involve the German shareholder families represented by Wegmann Holding, according to reports published by Handelsblatt and Reuters on October 14\. Negotiations are ongoing, with the purchase price remaining the principal unresolved issue. A decision could follow in the coming weeks.

KNDS is currently owned equally by the French state, through GIAT Industries, and Germany's Wegmann family shareholders. If the proposed transaction proceeds, the German federal government would replace the private German shareholders, creating a 50-50 ownership structure between the two governments.

### Planned IPO Put on Hold

The negotiations follow difficulties with KNDS's planned initial public offering, which had been expected to become one of Europe's largest defense industry listings.

Under the earlier proposal, the French state and German family shareholders would each have sold a 10% stake to public investors, while the German government would have acquired the remaining 40% held by the families.

However, the IPO was postponed after prospective investors resisted the shareholders' valuation expectations. Handelsblatt reported that the German owners had sought a company valuation of approximately €15 billion.

The German Ministry for Economic Affairs confirmed that Berlin is examining an ownership position equivalent to France's, citing the need to protect strategically important defense technologies.

KNDS declined to comment on the negotiations between the government and its German shareholders. The company maintained that a stock market listing remains a long-term objective.

### Strategic Importance of KNDS

Headquartered in Amsterdam, KNDS was established in 2015 through the combination of Germany's Krauss-Maffei Wegmann and France's Nexter Systems.

The group manufactures the Leopard 2 main battle tank, the French Leclerc tank, the PzH 2000 self-propelled howitzer and other armored vehicles and artillery systems used by European armed forces.

The potential ownership change comes as Germany and France continue their cooperation on the Main Ground Combat System (MGCS), a planned next-generation armored combat system intended to succeed the Leopard 2 and Leclerc.

No binding acquisition agreement, final purchase price or closing date has been announced.
